1. Acceptance of Terms

By accessing or using the ListFly platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service. These Terms constitute a legally binding agreement between you and ListFly ("we", "us", or "our").

2. Description of Service

ListFly is a product migration platform that allows e-commerce sellers to transfer product listings between online marketplaces, including but not limited to eBay, Shopify, and Temu. The Service includes:

  • Connecting your marketplace seller accounts via API or OAuth
  • Retrieving product data from source marketplaces
  • Mapping and converting product data to the format required by destination marketplaces
  • Creating listings on destination marketplaces on your behalf
  • Uploading product images to destination marketplaces

3. Account Registration

To use ListFly, you must create an account and provide accurate, complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activity that occurs under your account
  • Notifying us immediately of any unauthorised use of your account

You must be at least 18 years of age to create an account and use the Service.

4. Marketplace Connections

By connecting a marketplace account to ListFly, you:

  • Authorise us to access your marketplace data (products, listings, images, and related information) through the marketplace's API
  • Authorise us to create, modify, or upload listings and images on the destination marketplace on your behalf
  • Confirm that you have the authority to connect the marketplace account and perform these actions
  • Acknowledge that marketplace API access may be subject to the terms and policies of the respective marketplace (eBay, Shopify, Temu, etc.)

5. Your Responsibilities

You are solely responsible for:

  • Listing accuracy: Ensuring that the product data migrated through ListFly is accurate, complete, and complies with the destination marketplace's policies and listing requirements
  • Marketplace compliance: Complying with the terms of service, seller policies, and applicable laws of each marketplace you use
  • Intellectual property: Ensuring you have the right to list the products and use any images, trademarks, or content included in your listings
  • Pricing and inventory: Verifying that prices, quantities, and product details are correct after migration
  • Tax and regulatory obligations: Meeting all applicable tax, customs, and regulatory requirements in the jurisdictions where you sell

6. Prohibited Uses

You agree not to use the Service to:

  • List counterfeit, illegal, or prohibited products on any marketplace
  • Violate any marketplace's terms of service or seller policies
  • Infringe on the intellectual property rights of others
  • Transmit malicious code, spam, or any harmful content
  • Attempt to gain unauthorised access to our systems or other users' accounts
  • Use the Service in any way that could damage, disable, or impair its functionality
  • Resell, sublicence, or provide access to the Service to third parties without our consent

7. Fees and Payment

ListFly may offer free and paid plans. Details of pricing, features, and any applicable fees will be displayed on our website or within the platform. We reserve the right to change our pricing with reasonable notice. Continued use of the Service after a pricing change constitutes acceptance of the new pricing.

8. Intellectual Property

The ListFly platform, including its design, code, features, and branding, is owned by us and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service.

You retain ownership of all product data, images, and content you provide through the Service. By using ListFly, you grant us a limited licence to process this content solely for the purpose of providing the Service.

9. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

  • The Service will be uninterrupted, error-free, or secure
  • Migrations will be 100% accurate in all cases
  • The Service will be compatible with all marketplace API changes at all times
  • Listings created through the Service will be approved or remain active on destination marketplaces

10. Limitation of Liability

To the maximum extent permitted by law, ListFly and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, or data
  • Marketplace account suspension or restriction resulting from listings created through the Service
  • Errors in product data, pricing, or images during migration
  • Downtime or unavailability of third-party marketplace APIs

Our total liability for any claim arising from or related to the Service shall not exceed the amount you have paid us in the twelve (12) months preceding the claim, or fifty pounds sterling (£50), whichever is greater.

11. Indemnification

You agree to indemnify and hold harmless ListFly, its operators, and affiliates from and against any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any marketplace's terms or policies
  • Any claims by third parties related to your listings or products

12. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including if we believe you have violated these Terms. You may delete your account at any time by contacting us.

Upon termination, your right to use the Service ceases immediately. We will delete your account data in accordance with our Privacy Policy.

13. Changes to These Terms

We reserve the right to update these Terms at any time. We will notify you of material changes by posting the revised Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
